Terms and Conditions of Service

Overview

These Terms and Conditions ("Terms") govern your access to and use of the Raydon AI platform and all associated services (collectively, the "Service"), operated by Raydon AI, Inc. and accessible at https://raydon.ai (the "Site"). By accessing or using the Service, you ("Client," "User," or "you") agree to be legally bound by these Terms.

If you do not accept these Terms in their entirety, you must immediately stop using the Service. These Terms apply to all users, including visitors, registered users, and paying subscribers.

1. Eligibility and Account Access

1.1 Who May Use the Service

To access or use the Service, you must:

  • Be at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater.
  • Have the full legal authority to enter into a binding agreement on behalf of yourself or any organization you represent.
  • Not be prohibited from using the Service under any applicable law or prior agreement with Raydon AI.

By using the Service, you represent and warrant that all of the above requirements are satisfied.

1.2 Account Registration and Security

Certain features of the Service require you to create an account. When doing so, you agree to:

  • Provide accurate, complete, and current information during registration and keep it up to date.
  • Maintain the confidentiality of your login credentials and not share them with any third party.
  • Notify us immediately at support@raydon.ai if you suspect unauthorized access to or use of your account.
  • Accept responsibility for all activity that occurs under your account, whether or not authorized by you.

We reserve the right to suspend or terminate accounts that contain inaccurate information or that appear to be compromised.

2. Your Content

2.1 Ownership

You retain full ownership of all content, data, images, files, and materials you upload, submit, or generate through the Service ("Client Content"). Nothing in these Terms transfers any ownership rights in your Client Content to Raydon AI.

2.2 License to Raydon AI

By uploading or submitting Client Content, you grant Raydon AI a limited, non-exclusive, royalty-free, worldwide license to use, store, process, and display your Client Content solely as necessary to provide and improve the Service. We will not sell your Client Content to third parties or use it for advertising without your explicit consent.

2.3 Your Responsibility

You are solely responsible for ensuring that your Client Content: (a) does not violate any applicable law or third-party rights; (b) complies with all restrictions set out in Section 3 of these Terms; and (c) is accurate and not misleading.

3. Content Restrictions and Acceptable Use

3.1 Prohibited Content

You may not generate, upload, submit, or share content through the Service that:

  • Promotes, facilitates, or encourages any illegal activity, including fraud, violence, or trafficking of prohibited goods or services.
  • Constitutes hate speech or incites discrimination, hostility, or violence against any individual or group based on race, ethnicity, religion, gender, sexual orientation, disability, national origin, or other protected characteristics.
  • Is sexually explicit, pornographic, or obscene, including any content depicting sexual abuse, exploitation of minors, or animal cruelty.
  • Infringes the intellectual property rights of any third party, including copyrights, trademarks, trade secrets, or patents.
  • Is knowingly false, misleading, or deceptive, especially when presented as factual information.
  • Discloses the personal or confidential information of any third party without their express consent.
  • Harasses, threatens, intimidates, or bullies any individual or group.
  • Promotes or glorifies self-harm, suicide, eating disorders, or other dangerous behaviors.
  • Contains spam, malware, phishing content, or other malicious code or links.
  • Impersonates any person, organization, or entity in a misleading or deceptive manner.

3.2 AI-Specific Restrictions

Because the Service incorporates AI-powered tools, you additionally agree not to:

  • Input sensitive personal data into AI tools, including but not limited to racial or ethnic origin, political opinions, religious beliefs, biometric data, health data, sexual orientation, or financial account details.
  • Attempt to manipulate, jailbreak, reverse-engineer, or circumvent any AI model or safety mechanism within the Service.
  • Use the Service to generate synthetic media (e.g., deepfakes) of real individuals without their explicit, informed consent.
  • Rely on AI-generated outputs as the sole basis for legal, medical, financial, or other professional decisions without independent expert review.

3.3 Enforcement

We reserve the right, but not the obligation, to review, monitor, and remove any content that we reasonably believe violates these restrictions. We may also suspend or terminate accounts, report illegal activity to law enforcement, and take any other action we deem reasonably necessary to protect the Service and its users.

4. Use of the Service

4.1 License Grant

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. All outputs generated through the Service ("Generated Outputs") are subject to the usage rights described in Section 5.

4.2 Prohibited Activities

In connection with your use of the Service, you agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable local, state, national, or international law or regulation.
  • Attempt to probe, scan, or test the vulnerability of the Service or its infrastructure.
  • Reverse-engineer, decompile, disassemble, or attempt to derive source code from the Service or any underlying technology.
  • Use automated tools, bots, scrapers, or scripts to access, interact with, or extract data from the Service without our prior written consent.
  • Resell, sublicense, or otherwise commercialize access to the Service or your account credentials.
  • Interference with, disrupt, or place an unreasonable burden on the Service or its servers or networks.
  • Circumvent any technical limitations, access controls, or security measures of the Service.

4.3 Service Modifications and Availability

We reserve the right to modify, update, suspend, or discontinue any part of the Service at any time, with or without notice. For changes that materially affect core functionality, we will endeavor to provide advance notice via email or within the Service. We are not liable for any disruption, loss, or inconvenience caused by such changes.

5. Intellectual Property

5.1 Raydon AI Property

All rights, title, and interest in and to the Service, Site, and all associated software, technology, content, trademarks, logos, and designs (excluding Client Content) are owned by or licensed to Raydon AI. These Terms do not grant you any ownership rights in any of the foregoing.

5.2 Generated Outputs

Subject to your compliance with these Terms and an active subscription, you may use Generated Outputs for your own business purposes for the longer of: (i) two years from the date of generation, or (ii) the duration of your active subscription. You may not sublicense, resell, or transfer Generated Outputs to third parties for their independent commercial use without our prior written consent.

5.3 Feedback

If you provide us with suggestions, ideas, feedback, or recommendations regarding the Service ("Feedback"), you grant Raydon AI a perpetual, irrevocable, royalty-free, worldwide license to use and incorporate such Feedback into our products and services without any obligation of compensation or attribution to you.

5.4 Third-Party Claims

If we determine or reasonably believe that the Service infringes a third party's intellectual property rights, we may, at our sole discretion: (a) obtain a license to continue providing the Service; (b) modify the Service to eliminate the infringement; or (c) terminate your access and provide a pro-rated refund for any unused prepaid subscription period. The remedies in this section represent our entire liability for intellectual property infringement claims.

6. Payments, Subscriptions, and Refunds

6.1 Fees and Billing

Access to premium features of the Service requires payment of subscription fees ("Fees") as set out in the applicable order form or pricing page. All Fees are quoted in US dollars unless otherwise stated. By subscribing, you authorize Raydon AI and its payment processors to charge the applicable Fees to your designated payment method.

6.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date through your account settings. We will notify you of any upcoming renewal and any changes to applicable Fees at least 14 days before the renewal date.

6.3 Refund Policy

Fees are generally non-refundable. However, if you are dissatisfied with the Service, you may request a refund within 7 days of your initial purchase or renewal by contacting us at support@raydon.ai. Refund eligibility will be determined at our sole discretion, taking into account your usage and circumstances. If we terminate your account without cause, we will issue a pro-rated refund for the unused portion of your subscription term. Refunds will not be issued for accounts terminated for violations of these Terms.

6.4 Taxes

All Fees are exclusive of applicable taxes, levies, or duties. You are responsible for paying all such taxes associated with your use of the Service. If we are required to collect taxes on your behalf, the applicable amount will be added to your invoice.

6.5 Failed Payments

If a payment fails, we may retry the charge and will notify you via email. If payment is not received within 7 days of the failure, we reserve the right to suspend or downgrade your account until payment is received.

7. Privacy, Data, and GDPR Compliance

7.1 Privacy Policy

Your use of the Service is governed by our Privacy Policy, which is incorporated into and forms part of these Terms. By using the Service, you consent to the collection, use, and disclosure of your personal data as described in the Privacy Policy.

7.2 GDPR and Data Subject Rights

If you are located in the European Economic Area (EEA), United Kingdom, or another jurisdiction with applicable data protection laws, you have certain rights regarding your personal data, including the right to access, correct, delete, and port your data, as well as the right to object to or restrict processing. To exercise any of these rights, please contact us at support@raydon.ai. We will respond to all verifiable requests within the timeframes required by applicable law.

7.3 Data Processing

Where Raydon AI processes personal data on your behalf as a data processor, the terms of our Data Processing Addendum ("DPA"), available upon request, shall apply. You are responsible for ensuring you have a lawful basis for transferring any personal data to us for processing.

7.4 AI-Generated Outputs

Our Service uses AI models to generate outputs. While we take reasonable steps to ensure quality and accuracy, AI-generated outputs may contain errors, inaccuracies, or unintended results. You are responsible for independently reviewing all Generated Outputs before relying on or publishing them.

7.5 Anonymized Data

We may collect and use de-identified and aggregated data derived from your use of the Service for purposes of improving, marketing, and developing the Service. Such data will not identify you personally.

8. Third-Party Services and Integrations

The Service may integrate with or rely upon third-party services, platforms, APIs, or tools (collectively, "Third-Party Services"). We are not responsible for the availability, reliability, security, or legal compliance of any Third-Party Services. Your use of Third-Party Services is subject to their own terms and privacy policies. We may change or remove Third-Party Service integrations at any time without notice.

9. Termination and Suspension

9.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the then-current billing cycle. You remain responsible for all Fees accrued up to the date of cancellation.

9.2 Termination or Suspension by Raydon AI

We may suspend or terminate your access to the Service immediately, with or without notice, if we determine in our sole discretion that you have:

  • Violated any provision of these Terms or any applicable law.
  • Failed to pay any Fees when due after receiving notice.
  • Engaged in conduct that poses a risk to the security, integrity, or reputation of the Service or other users.

9.3 Effect of Termination

Upon termination of your account for any reason: (a) your right to access the Service ceases immediately; (b) you should export any Client Content prior to termination as we may delete it thereafter, subject to applicable legal retention requirements; and (c) provisions of these Terms that by their nature should survive termination shall remain in effect, including Sections 5, 7, 10, 11, 12, 13, and 14.

10. Confidentiality

10.1 Mutual Obligations

"Confidential Information" means any non-public information disclosed by either party in connection with these Terms that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure. Each party agrees to: (a) hold the other's Confidential Information in confidence using at least reasonable care; (b) not disclose it to third parties without prior written consent; and (c) use it solely to fulfill its obligations under these Terms.

10.2 Exceptions

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party before disclosure; (c) is independently developed by the receiving party without reference to the disclosing party's information; or (d) is required to be disclosed by law, court order, or regulatory authority, provided that the receiving party gives reasonable prior notice to the disclosing party where legally permitted.

10.3 Duration

Confidentiality obligations under this section shall survive the termination or expiration of these Terms for a period of five (5) years, or longer where required by applicable law.

11. Dispute Resolution and Arbitration

11.1 Informal Resolution

Before initiating any formal dispute, you agree to first contact us at support@raydon.ai and give us a reasonable opportunity (at least 30 days) to resolve the issue informally. Many concerns can be resolved quickly and satisfactorily through direct communication.

11.2 Binding Arbitration

If we cannot resolve a dispute informally, you and Raydon AI agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding individual arbitration, rather than in a court of law. Arbitration shall be conducted by a recognized arbitration body under its applicable rules. The arbitration will take place in the State of Delaware, or remotely by mutual agreement.

11.3 Class Action Waiver

YOU AND RAYDON AI EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING.

Disputes may only be brought on an individual basis.

11.4 Exceptions

Notwithstanding the above, either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm, and claims relating to intellectual property infringement may be brought in court without first going through arbitration.

11.5 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. For any claims not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

12. Disclaimers and Limitation of Liability

12.1 Disclaimer of Warranties

THE SERVICE AND ALL GENERATED OUTPUTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAYDON AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.3 Cap on Liability

IN NO EVENT SHALL RAYDON AI'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO RAYDON AI IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (US$100).

12.4 Essential Basis

The limitations of liability in this section reflect a reasonable allocation of risk and are a fundamental element of the basis of the bargain between you and Raydon AI. Raydon AI would not be able to provide the Service on an economically feasible basis without these limitations.

13. Indemnification

You agree to defend, indemnify, and hold harmless Raydon AI, its affiliates, officers, directors, employees, contractors, licensors, and agents from and against any and all claims, liabilities, damages, judgments, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your Client Content, including any claim that it infringes or misappropriates a third party's intellectual property rights or violates any applicable law.
  • Your access to or use of the Service in violation of these Terms or applicable law.
  • Your breach of any representation, warranty, or obligation under these Terms.
  • Any content you post, transmit, or make available through the Service.

We reserve the right, at our own expense, to assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate fully with us in asserting any available defenses.

14. Accessibility

Raydon AI is committed to making the Service accessible to all users. If you encounter any accessibility barriers or require accommodations to use the Service effectively, please contact us at support@raydon.ai and we will work with you to address your needs where reasonably practicable.

15. General Provisions

15.1 Amendments

We may revise these Terms at any time. When we make material changes, we will provide notice via the Site, the Service, or by email at least 14 days before the changes take effect. The most current version of these Terms will always be available at https://raydon.ai/terms. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

15.2 Entire Agreement

These Terms, together with our Privacy Policy, Data Processing Addendum, and any applicable Order Form, constitute the entire agreement between you and Raydon AI with respect to the Service and supersede all prior agreements, representations, and understandings, whether written or oral.

15.3 Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and all other provisions will remain in full force and effect.

15.4 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Raydon AI.

15.5 Assignment

You may not assign, delegate, or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign these Terms and our rights hereunder, including in connection with a merger, acquisition, or sale of assets. These Terms are binding upon and inure to the benefit of each party's permitted successors and assigns.

15.6 Force Majeure

Neither party shall be liable for any delay or failure to perform its obligations under these Terms to the extent such delay or failure is caused by circumstances beyond that party's reasonable control, including natural disasters, acts of government, pandemics, cyberattacks, or failures of third-party infrastructure. The affected party shall give prompt notice to the other and use reasonable efforts to resume performance.

15.7 Notices

All legal notices to Raydon AI under these Terms must be sent in writing to support@raydon.ai. We may provide notices to you via the email address associated with your account or by posting a notice within the Service. Notices are deemed received: (a) immediately upon sending for email; or (b) upon posting for Service notices.
